Please read these Terms of Service ("Terms" "Terms of Service") carefully before using the WeCoach website https://wecoach.gg/ (the "Service") operated by COACH GG LTD ("us" "we" or "our").

These Terms set out who WeCoach is, the lawful and prohibited use of the website and WeCoach Services as well as the rights and obligations of the client and service provider (collectively, the “user” or “users”).

By accepting these Terms of Service, you acknowledge your acceptance and the applicability of the Terms of Service (as “t&c”) and other related policies on your use of this website and its Services.

WeCoach provides an online marketplace where professional esports coaches, pros, and content creators (the “service provider”, “service providers”, “coach”, or “coaches”) provide personalized, one-on-one lessons to individuals (the “clients” or “client”).

At WeCoach, we have two main Services provided to our clients:

1. One-on-one Coaching

One-on-one coaching allows the user to book coaching sessions on an hourly or preset basis with a specific coach. During the coaching session, the coach will analyze the client's gameplay and will provide practical feedback for the client to improve their performance.

Ordering Process

• A client can look for a coach through the search engine provided on the WeCoach website. Moreover, a client will be able to view different coaches’ profiles. When a client enters a coach profile, a client will be able to see relevant information about the coach and can proceed to book a lesson by pressing the “BOOK NOW” button. If the client is logged in, a checkout page will be seen. But if the client is not logged in, then the client will be directed to an authentication page, where log-in credentials or registration in WeCoach is needed. Finally, the client will be directed to the checkout page to check if there should be any change before finalizing the order.
• Once a client has paid for the lesson, an invoice will be sent to the client’s email and an order is created between the client and coach. WeCoach has an integrated chat feature to provide convenient communication between coaches and clients. The coach will receive the new order to communicate with the client through our website.
• After, the coach and the client will discuss a time to conduct the session and start the coaching session. The session may be conducted through Discord. When a coaching session is complete, the coach will mark the order as complete on the WeCoach website. The coach balance will increase automatically.

2. Play with a Pro

Clients can play with a random or specific coach. The pricing will be preset, based on several features such as: the game, the user ranking, features, and order priority.

Ordering Process

• A client can select a game, and the number of games wants to play. The client needs to register or log in to WeCoach to continue to the checkout page to check if any change needs to be made before confirming the order.
• An order will be created and assigned to a specific coach. It will be shown in the integrated chat feature. If the client decided to play with a random coach, the order will be assigned to a randomized available coach and will be assigned via the coach dashboard.
• The Play with a pro session can be conducted through Discord. When the play with a pro session is done, the coach will mark it as complete on the WeCoach website. The payout balance will increase automatically in the coach account.

Eligibility for Using Our Website

Legal Age

To use and enjoy WeCoach Services you must be 18 + of age or be of legal age according to the jurisdiction of the country you access our website from. For those who want to register as a coach, you must be 18 years old or above. If you're less than 18 you are advised not to use our Service.

You certify the following:

• You are not banned from using WeCoach Services.
• You are not a restricted person from doing business within UK.
• You are not accessing or using our website from a geographic location where using WeCoach is prohibited by law.

The Availability of WeCoach

WeCoach company wants to inform you that WeCoach Services may become suspended, modified, updated, or discounted at any time at its sole decision.

Creating Account and Responsibilities

• You can access our website but for accessing some content and using our Services you will be required to register as a user and to create an account.
• If you register as a coach, you warrant that you create your account in WeCoach to market your Service to our clients in WeCoach to create an individual contractual relationship between you and our clients.
• When you use WeCoach Services, you warrant that you’re using one account only. Using multiple accounts or another person's account violates WeCoach Terms of Service.
• When you use our Services, you acknowledge that you’re responsible for maintaining your account password information confidential. We expect you not to disclose your password to any third party, and to immediately inform us of any not permitted use of your account.
• We reserve the right to suspend, revoke your access to our Services if you provide incomplete, false information, or any conduct that violates our Terms of Service or other Terms.
• By registering your account at WeCoach, you acknowledge that you’re responsible financially for the use of the Service, purchasing, or and delivering the Service. You also acknowledge that you will meet your obligations to any contract that you accept.
• WeCoach Services may be provided through different social media. You can sign in to WeCoach website through one of the following platforms: Facebook, Google, or Discord. You acknowledge and consent that you may provide your account email address to WeCoach.

Relationship between Service Provider and Client

When using the WeCoach Services, users must understand that WeCoach provides its platform for connecting coaches with clients. We do not endorse or act on behalf of any party, we only provide the platform for users.

• When you use WeCoach Services, you acknowledge that entering into a contract between a coach and a client does not create any relationship between WeCoach and the coach or between the client and WeCoach. You understand coaches do not represent the Company as they are exclusively independent contractors and are not employees or agents.
• The coach must provide his/her Service with reasonable care and skill, in a professional and timely manner as described, that fits the description.
• A coach must adhere to Terms of his/her agreement, to our WeCoach Terms of Service, other policies as well as to any applicable law to his/her obligations for providing the Service.
• The manner and means of providing the Services will be determined between the coach and the client.
• Requesting or providing contact information such as Skype, Discord, email, or any other personal contact details to communicate outside of WeCoach is not permitted unless the user has placed an order with the coach in contact.

Rules for Coaches

• If a coach delays, does not perform the order, or breaks any rules mentioned during onboarding, the coach may be charged with cash penalty. WeCoach reserves the right to decrease balance or ban a coach if the Terms of Service or other related Terms have been broken. However, we will always examine the situation carefully and provide a fair solution.

Payment Terms, Rules, and Rights

Payment through the platform

• Clients of WeCoach can use credit or debit card under PayPal or Stripe. A coach must receive a charge fee from the client in exchange for providing play with a pro or one-on-one coaching. Upon the completion of the Service, a charge fee should be processed for the service provider.
• A client must pay for the fee by any means and in case they fail in doing that we have the right to take suitable action to your account and seek a legal remedy. If legal action is pursued through the court, we are entitled of attorneys’ fees and other related costs to the extent permitted by applicable law.
• Coach acknowledges and agrees that they are solely responsible for any tax responsibility from fees received from clients. WeCoach will not withhold any tax.

Loading of Funds

• We may require the client to load a monetary value to client’s account using client’s credit or debit card on file in order to make payments for WeCoach Services through the Platform. Any value that client loads to client’s account is a prepayment for the goods and services the client may purchase through the Platform. Any monetary value client has previously loaded to client’s account will be refunded back to client’s payment method on file if client terminates client’s account. The value client loads to client’s account is not insured by the Federal Deposit Insurance Corporation (FDIC) and does not earn interest. WeCoach may impose limits on the amount of value that client may load to client’s account in its discretion.

Taxes

• A coach must determine whether they need to remit to local authorities any taxes or similar charges applicable to the contract fees.
• You acknowledge that you are responsible for determining whether WeCoach is required by law to withhold any amount of the contract fees and for notifying WeCoach of any such requirement and indemnifying WeCoach for any requirement to pay any withholding amount to the appropriate authorities (including penalties and interest).

Service Fees

• WeCoach takes a Service fee from coaches. When a client pays a coach, or when funds related to a contract are released to a coach, WeCoach will automatically deduct the WeCoach Service fee from contract fees (the “Service Fee”).
• Coach agrees that WeCoach will first deduct a Service fee from the contract fee or when funds related to a contract are released to the coach and then credit the balance into the coach’s account. WeCoach Service fee is for creating, hosting, maintaining, and providing the WeCoach Services.
• Coach and client understand that they must conduct the deal through WeCoach website, to pay and receive the payment.
• WeCoach Service fees will vary depending on the Service and the game type. For One-on-one coaching session, WeCoach will deduct 30% from the total order as Service fee. However, for Play with a Pro session, WeCoach Service fees vary depending on the game. WeCoach will also deduct 30% from tips as a Service fee. Coaches should be aware of the Service fees before conducting the session.

Tips

• As a coach, you may receive tips from clients when using the WeCoach website. Any such tips are provided at the sole discretion of a user and we do not guarantee you will receive tips from clients. Once a tip is paid for by the user it will be automatically added to your coach balance. WeCoach will deduct 30% from the tip amount as a Service fee.

Cancelation Rights

• As a WeCoach client, you have the right to cancel the Service within 14 days from the start of the contract. A coach may wait 14 days after entering a contract with a client to provide the Service unless the client requests otherwise.
• In case the Service started within 14 days, the client has the right to cancel the Service, but client must pay up to the point of cancelation.
• If the Service started and finished within the 14 days of entering into a contract, the cancelation right is lost.

Rules for Payouts

• Coach will be able to request a payout when their balance account is $50 and above. A coach can request for payout through their dashboard and choose to receive payment through PayPal in USD.
• In special circumstances, when a coach needs an early payout, WeCoach can decide to send payments.

Using PayPal to Receive Payment

• When a coach wants to receive payout through PayPal, payment will be via goods and services method. PayPal will receive 2.9% of the total payment. In case the coach requests currency conversation, PayPal will deduct around 0.3% or 0.4% for exchange rate markup. Coaches should be aware of PayPal fees which may be subject to change. Auditing Tax Returns and Other Documents

When WeCoach decides to conduct auditing, coaches agree to cooperate with us and to provide all the requested documents, not limited to records showing a coach is engaging in an independent business as represented to WeCoach.

Feedback and Ratings

• Clients of WeCoach are encouraged to provide objective and fair feedback about the coaches they work with.
• Coaches on our website, understand and agree that the website might contain public feedback results about coaches from clients that they have transacted with.
• By using our Service, you acknowledge and accept that clients will put feedback on you and your Service, it may consist of comments and ratings left by your clients, and that WeCoach may calculate a composite feedback number based on these individual ratings.
• WeCoach allows its clients to provide their opinion, however, clients’ usernames will be partially hidden. Coaches and clients can bring to us any feedback where they question accuracy and/or reliability.
• You understand you are fully responsible if you receive legal charges for comments you post on the WeCoach website that damages or harms other users or a third party or if the court considers your feedback a defamatory comment. It’s important to understand by using WeCoach Services, we are not legally responsible for any feedback and input you provide or made available to this website.

Responsibility of The User Content

Users understand that they are responsible for the content they provide on our website. therefore, you must understand the risks that are associated with user content. You may not imply that the content you input is endorsed by WeCoach. By using WeCoach Services, you must not transmit content:

• Might create a risk of harm, loss, physical or mental injury, emotional distress, death, disability, disfigurement, or physical or mental illness to you, or any other person.
• May create a risk of any other loss or damage to any person or property.
• Could harm or damage children, not limited to asking them for information that makes them identifiable.
• Could contribute to crime or tort law.
• Detrimental to the rights of publicity and privacy of third parties, or sexually explicit, obscene, defamatory, abusive, insulting, or threatening content.
• Can be offensive or humiliating to another person, group, or entity.
• Illegally disclosed information, like transmitting content that is considered as a trade secret for a third party.
• Any personally identifiable information that is collected from WeCoach website about other users of our website without their express permission.

By using our website, you are responsible for the following

• Not to transmit content that will violate without limitation, to third party’s rights Intellectual property and Privacy.
• Not use our Services to create unfair advantage or cheating when you play against any third party.
• You agree to use our website for entertaining and educational purposes to improve your gaming skills.

WeCoach Rights from User Content

You represent and warrant that the content you provide:

• Owned by you or you have the right to license it to others.
• Does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity.

• When you use our Service and provide content on our website, we have the right to use it in different ways. Such as displaying, reforming, creating derivative works from it, promoting it, or distributing it as well as incorporating it into advertisements.
• By using our Services, you acknowledge and agree to grant us world-wide, non-exclusive, royalty-free, transferable rights to use your content for any purpose. Besides, you give our users and other third parties in connection with WeCoach, the right to access user content in connection with their use of the WeCoach Services.
• When you provide any information which is not sensitive or personal to other people - learn more from our Privacy policy - to WeCoach, employee or contractor, or any WeCoach website, you grant WeCoach and our affiliates, licensees, distributors, agents, representatives, and other entities or individuals authorized by WeCoach, a non-exclusive, worldwide, perpetual, unlimited, irrevocable, royalty-free, and fully transferable right to exercise any and all copyright, trademark, publicity, and any rights you have in user content, in any media known now or in the future, and to make, use, reproduce, copy, display, publish, exhibit, distribute, modify, sell, offer for sale, create derivative works based upon and otherwise use user content.
• WeCoach reserves the right to solely remove at any time any of user content, modify the content, change the format, sizing, and any other display specifications of user content as it sees fit.

Restrictions

You agree not to violate any law, statute, or regulation in connection with your use of our website, including but not limited to the following:

• Use any automated process, including but not limited to agents, robots, scripts or spiders, to access, monitor, collect, copy or otherwise transmit the Service.
• Registration data or other data of users; whether individually or in aggregate.
• Test or monitor the vulnerability of the WeCoach website or violate any application or authentication mechanism available on the Service.
• Use any mechanism, software or other code that interferes with or is intended to interfere with the proper functioning or use of the WeCoach website.
• Manipulate headers or other means of identification to disguise the origin of any message sent by or through the Services.
• Disguise one's identity or to accept someone else's identity.
• Impersonate or try to impersonate WeCoach company, WeCoach’s employee, or any other person or entity, by using email address or any other method.
• To engage in any activity that can restrict or inhibit anyone’s full enjoyment and use of the website or may harm WeCoach Company or users of the website or expose them to liability.
• Use the website in any manner that can disable, overburden, damage or impair the Website or inference in anyone’s use of the website, including but not limited to their ability to use and engage with the activities of the website in a real manner.
• To access or use the website through any robot or automatic device, or any means for any purpose not expressly approved by the Terms of Service, including for monitoring or copying any of the material in the website.
• Upload, post or transmit or otherwise make available any material that contains any viruses, malware, ransomware or spyware or any other computer code, files or programs, or any other technologies designed to interrupt, destroy or limit the functionality of any part of the website, the server on which the website stored, any server, computer, or database connected to the website.

User Content Dispute

WeCoach allows our users to put content on our website, if you spot any user-generated content on our website that you think breaches any Intellectual property rights please email us at support@wecoach.gg. We will always cooperate to fight against unauthorized materials.

If you believe in good faith that materials hosted by us infringe your copyright, you (or your agent) may send us a written notice that includes the following information. Please note that we will not process your complaint if it is not properly filled out or is incomplete. To report that your intellectual property rights have been infringed upon, please email us at support@wecoach.gg and include the following information:

• A physical or electronic signature of a person authorized to act on behalf of the owner of the works that have been allegedly infringed.
• Identification of the copyrighted work alleged to have been infringed (or if multiple copyrighted works locked on the WeCoach website are covered by a single notification a representative list of such works).
• Identification of the specific material alleged to be infringing or the subject of infringing activity and information reasonably sufficient to allow WeCoach to locate the material on the WeCoach website.
• Your name, address, telephone number, and email address if available.
• A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner its agent or the law.
• A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Limitation of Liability

WeCoach will ensure the availability of its website and Service will not be interrupted. But sometimes will be hard to maintain that in the virtual environment of internet. Besides the access to WeCoach might be suspended due to maintenance and instruction of new features. The following Terms apply to the maximum extent permitted under applicable law.

• The WeCoach website and Services are provided “AS IS” and “as available” basis with no warranties of any kind. You agree not to rely on the website, website Services and any information in the website. Moreover, you acknowledge that your use of the WeCoach website and Services is at your own discretion and risk.
• WeCoach make no representations or warranties with regard to the WeCoach website, Services, and user content. WeCoach is not liable to you for any loss or damage that might arise.
• WeCoach make no claims or promises with respect to any third-party, such as clients and coaches listed on the WeCoach website.
• WeCoach is not liable to you for any loss or damage that might arise from any third-party action, misdescriptions, errors, or anything related to third parties. If you decide to pay to use the Services offered by third parties through the WeCoach website, you understand this action is at your own risk.
• Any legal claim related to a session or a coach it must be directed against the coach of the session. You release WeCoach from any claims related to the session bought through our website.
• WeCoach cannot and is not responsible to ensure the accuracy of the coaches/clients’ identity or the information they post on our website.
• WeCoach disclaim any liability and shall not be responsible for any (i) loss that were not caused by any breach on our part, (ii) any indirect or consequential losses that were not foreseeable to both you and us when using our website.
• In no event shall WeCoach be liable for any delay for delivering the Service if the delay arises from any cause that is beyond our control.
• If we are found to be liable, our liability to you will be limited to the lesser of (i) any amount that is equivalent to the price of the Service provided, (ii) the amount of fees in dispute not to exceed the total fees which you paid to us in the 12 months, or (iii) £ 100.
• Some jurisdictions do not allow for all of the foregoing exclusions and limitations, so such exclusions and limitations may not apply to you.

Changes to Terms of Service

We have the right to revise and amend the Terms of Service from time to time at our sole discretion. All the changes are effective immediately as they are posted. It applies to all access and use of the website. Your continued access or use constitutes your acceptance to the updated Terms of Service.

Indemnification

You agree to defend, indemnify, and hold harmless the WeCoach Company, its affiliates, licensors, and its and their respective officers, directors, employees, agents, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Service or your use of the Website.

Termination

• You can terminate your account and the use of our Services at any time you want after providing a notice to WeCoach. The Terms of Service will stay in full force even after the end of using the Service.
• We may remove, suspend your access to some parts of the website for a violation of applicable law, our Terms, or for no reason without notice or liability of any kind.
• Termination of the agreement and/or client account does not relieve the client from paying Services performed before the termination of the agreement. The client grants us the permission to deduct the website fees from the client’s account balance.

Your Relationship with WeCoach

You expressly acknowledge, agree, and understand that the following:

• WeCoach serves as merely a venue where users may act as clients and/or coaches.
• WeCoach is not a party to any contracts between clients and coaches.
• You are not an employee of WeCoach, and WeCoach does not, in any way, supervise, direct, or control the coaches or their Services.
• WeCoach will not have any liability or obligations under or related to contracts for any acts or omissions by you or other users.
• WeCoach has no control over the coaches or Services offered or rendered by the coaches.
• WeCoach makes no representations as to the reliability, capability, or qualifications of any coaches or the quality, security, or legality of any Services, and WeCoach disclaims any and all liability relating thereto.
• WeCoach makes no representation as to the ability of clients to pay for the Services or that a client or a coach can or will actually complete a transaction.

Governing Law

• All matters relating to the Website and these Terms of Service shall be governed and interpreted according to UK law.
• Any disputes that may arise between WeCoach and the users of the WeCoach website shall be instituted by Arbitration method to resolve disputes. With the express waiver of the user in all cases to any other jurisdiction to which they may have recourse.
• For users in the European Union, this Agreement, and any non-contractual obligations arising out of, or in relation to it, shall be governed by UK laws.

Third Party Links

• WeCoach may contain links to third-party websites. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or Services.
• If you access a third-party website from the WeCoach Services, such as through Facebook or Twitter, you do so at your own risk, and you understand that these Terms of Service and Privacy Policy do not apply to your use of such sites.
• You expressly release us from any and all liability arising from your use of any third-party website, Service, or content. You agree that we shall not be responsible for any loss or damage of any sort relating to your dealings with such third parties.
